1. Scope; Relationship to SaaS Agreements

1. Site only. These Terms apply to the Site and related website content, communications, and features.
2. SaaS services.If you or your organization purchases or uses Tyria's software-as-a-service offerings (including "TyriaCore") and related services (the "Services") under a separate master agreement, order form, statement of work, or other written agreement (collectively, "Customer Agreements"), then the applicable Customer Agreements (not these Terms) govern your use of the Services.
3. Conflicts. If there is a conflict between these Terms and a Customer Agreement, the Customer Agreement controls for the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site.

3. Changes to the Site or Terms

We may update the Site or these Terms from time to time. The "Last Updated" date above indicates when these Terms were last revised. By continuing to use the Site after changes become effective, you agree to the revised Terms.

4. Acceptable Use

You agree not to (and not to attempt to):

• use the Site for unlawful, harmful, or fraudulent purposes;
• interfere with or disrupt the Site, servers, or networks;
• probe, scan, or test the vulnerability of the Site or bypass security measures;
• introduce malware, scraping bots, or other harmful code;
• copy, reproduce, distribute, or publicly display Site content except as permitted under these Terms;
• use the Site in a manner that infringes or misappropriates Tyria's or any third party's intellectual property rights.

5. Intellectual Property

All Site content (including text, graphics, logos, icons, images, audio/video, and software) is owned by Tyria or its licensors and is protected by intellectual property laws.

Subject to these Terms, Tyria grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes.

No rights are granted by implication.

6. Submissions; Feedback

If you submit information through the Site (for example, contact forms or demo requests), you represent you have the right to provide it.

If you provide suggestions, ideas, or feedback to Tyria ("Feedback"), you grant Tyria a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback into Tyria products and services without obligation to you.

7. Third-Party Links and Services

The Site may include links to third-party websites or services. Tyria does not control and is not responsible for third-party content, security, practices, or availability. Your use of third-party sites is at your own risk and subject to their terms.

8. Disclaimers

The site and all content are provided "as is" and "as available." To the maximum extent permitted by law, Tyria disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee the Site will be uninterrupted, error-free, secure, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law:

• Tyria will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, data, or goodwill), even if advised of the possibility.
• Tyria's total liability arising out of or relating to the Site or these Terms will not exceed US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tyria and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or if needed to protect the Site, users, or Tyria.

12. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules.

13. Dispute Resolution; Arbitration

Please read this section carefully. It affects your legal rights.

To the extent permitted by law, any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration hearing will take place in Wright County, Minnesota, unless the parties agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Either party may seek injunctive relief in court for actual or threatened misuse of intellectual property or breach of confidentiality.

14. Miscellaneous

• Severability. If any provision is unenforceable, the remainder remains in effect.
• No waiver. Failure to enforce a provision is not a waiver.
• Entire agreement. These Terms are the entire agreement between you and Tyria regarding the Site.

15. SMS Messaging Program Terms

Program Name: TyriaCore Messaging

1. This campaign is utilized in our private demo environment to test our application's text messaging purposes, including sending invoices, exchanging messages with users, and sending forms/contracts via SMS.
2. You can cancel the SMS service at any time. Just reply "STOP" to any message from Tyria or TyriaCore. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
3. If you are experiencing issues with the messaging program, you can reply with the keyword "HELP" for more assistance, or you can get help directly at support@tyria.app.
4. Carriers are not liable for delayed or undelivered messages.
5. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your activity in the TyriaCore demo environment. If you have any questions about your text plan or data plan, contact your wireless provider.
